Committees of the Supervisory Board

The members of the individual committees of the Supervisory Board of UNIQA Versicherungen AG are listed in the notes to the Group financial statements 2007 (p. 58 f).

Excerpt from the rules of procedure of the Supervisory Board:

A Working Committee shall be formed, consisting of the chairman and the five vice chairmen. This committee shall be called upon for decisions only if the urgency of the issue will not allow the decision to wait until the next meeting of the Supervisory Board. The evaluation of the urgency is the responsibility of the chairman. The decisions passed must be reported in the next meeting of the Supervisory Board. In consideration of the above, the Working Committee can in principle pass decisions on all issues that are subject to the Supervisory Board.

In addition, a Committee for Board Affairs shall be formed for the relationships between the company and the members of its Management Board (Section 92 paragraph 4 last clause of the Austrian Stock Corporation Act). This consists of the chairman and the first, second and third vice chairmen.

A Audit Committee (Section 92 paragraph 4a of the Austrian Stock Corporation Act) shall also be formed, with a composition identical to that of the Working Committee.

Finally, an Investment Committee shall be formed, consisting of four members selected by the Supervisory Board. This committee advises the Management Board with regards to its investment policy; it has no decision-making authority. The Management Board must report to the Investment Committee at least once per year on the investments and their yields.
