This new issue of 14,991 ordinary shares of UNIQA Versicherungen AG (ISIN AT0000821111) will be listed on 23^rd. May 2000 for official trading on the Vienna Stock Exchange. Immediately after the distribution of dividends for the preceding business year of 1999 (provisional ex-dividend day 3.7.2000) the technical aspects relating to the exchange and combining of the securities with the other ordinary shares (ISIN AT0000821130) will be dealt with.

At the time the swap offer was made, it was also mentioned that any participation certificates outstanding after the swap (16,264 units with a nominal value of ATS 1,626,400, or EURO 118,195.10 might be repurchased for cash. It is planned to put corresponding proposals to the management bodies concerned.

The share capital of UNIQA Versicherungen AG after the swap and measures for the conditional capital increase amounts to a nominal ATS 1,497,222,600 (Euro 108,807,409.72) divided into 14,972,226 units of ordinary bearer shares with a nominal value of ATS 100 (EURO 7.27).
