Bundesländer Insurance Company Addresses the Future:

Owners of Participation Certificates to Become UNIQA Shareholders.

Restructuring In November 1999, Austria’s leading insurance group will get an entirely new structure: Bundesländer-Versicherung will merge with BARC Versicherung-Holding AG, its present parent company, to become UNIQA Versicherungen AG, the new holding company.

The operative business of the group, which also comprises “Austria-Collegialität Gruppe”, “Raiffeisen Versicherung” and “Salzburger Landes-Versicherung”, will be restructured, concentrated and adapted to the new market requirements.

Conversion into ordinary shares
This new situation offers owners of participation certificates a unique opportunity: they will have the right to convert their  participation certificates into ordinary UNIQA shares, will entitle them to vote in the annual shareholders’ meeting and thus participate  in the future strategy of one of Central Europe’s most important financial institutions. They will also profit from the higher liquidity of their shares, which will be quoted as internationally accepted instruments on the money market. UNIQA ordinary shares will be listed on the Vienna Stock Exchange as of November. Their situation will be further strengthened  when – according to plans - the entire capital of the company is listed.
